The GO Network Partner Agreement

Version PA-DRAFT-2026-09. Draft for information: you'll be asked to sign only if your application is approved, once the partnership terms are confirmed together. Nothing is binding at application stage.

1. Parties and purpose

This agreement is between FindProcure Ltd, trading as The GO Network ("TGN"), and the approved partner company ("the Partner"). It governs the Partner's listing on The GO Network Platform and the partnership arrangement between the parties.

2. The listing

1. TGN will publish a partner listing for the Partner on The GO Network Platform, using the content supplied in the application.
2. TGN may edit listing content for style, clarity and length, and will not materially change its meaning without the Partner's approval.
3. Publication is at TGN's discretion. TGN may decline or remove a listing at any time, acting reasonably, and will tell the Partner why.
4. There is currently no fee for a partner listing. If TGN introduces fees or paid tiers in future, existing partners will get at least 60 days' notice and may exit without penalty.

3. The member offer

1. The Partner will provide the agreed member offer to members of The GO Network, and honour it for its stated duration.
2. The Partner may amend or withdraw the offer with 30 days' written notice to TGN. A listing without a live member offer may be unpublished until a replacement is agreed.

4. Referrals and partnership terms

1. The commercial arrangement confirmed in writing by both parties (the "Partnership Terms") forms part of this agreement.
2. Both parties will agree a practical means of attributing business introduced through the network, and the Partner will report and settle any agreed referral amounts quarterly unless otherwise agreed.

5. Brand and promotion

1. Each party grants the other a limited, revocable licence to use its name and logo solely to promote the partnership (including the listing, member emails and TGN channels).
2. Neither party will imply endorsement beyond the listing itself, and each will follow the other's reasonable brand guidelines.

6. Conduct and standards

1. The Partner warrants that the information in its application is accurate, that it is entitled to offer the services described, and that its dealings with members will be professional and lawful.
2. Complaints from members about a partner may lead to suspension or removal of the listing.

7. Data protection

Each party will comply with applicable UK data protection law in respect of any personal data shared under this agreement, and will only use member contact details obtained through the network for the purpose the member intended.

8. Term and termination

1. This agreement starts when both parties have signed, and continues until terminated.
2. Either party may terminate with 30 days' written notice. TGN may suspend or terminate immediately for material breach, including failure to honour the member offer or the Partnership Terms.
3. Referral amounts properly accrued before termination remain payable.

9. Liability

Neither party excludes liability it cannot exclude by law. Otherwise, neither party is liable to the other for indirect or consequential loss, and each party's total liability under this agreement is capped at £10,000 or, if greater, the referral amounts paid or payable in the 12 months before the claim.

10. General

This agreement is the whole agreement between the parties on its subject matter, may be varied only in writing (email suffices), and is governed by the law of England and Wales, with the courts of England and Wales having exclusive jurisdiction.
